The rules governing your use of THOTH Consulting

1. Agreement to Terms

These Terms of Service (hereinafter "Terms") constitute a legal agreement between you and THOTH Consulting OÜ (hereinafter "THOTH," "Company," "we," "us," or "our"). By accessing and using our website (thothconsult.eu), engaging our consulting services, or enrolling in our training programs (collectively, "Services"), you agree to be bound by these Terms.

If you do not agree to these Terms, please do not access or use our website or Services. Your continued use of our Services constitutes acceptance of these Terms.

2. License and Use Rights

2.1 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use our website and Services for lawful purposes. This license does not permit you to:

  • ✗ Modify or copy materials
  • ✗ Use materials for commercial purposes outside the scope of our Services
  • ✗ Attempt to decompile or reverse engineer any software
  • ✗ Remove any copyright or proprietary notations
  • ✗ Transfer materials to another person or "mirror" materials on another website
  • ✗ Use our Services for any illegal or unauthorized purpose

2.2 Intellectual Property Rights

All content on our website and in our Services, including text, graphics, logos, images, videos, frameworks, methodologies, and software, is the exclusive property of THOTH Consulting or our content providers and is protected by international copyright and intellectual property laws. The THOTH Framework, The Code training program materials, and all associated intellectual property remain our exclusive property.

3. User Responsibilities

3.1 Account Registration

If you register for a user account or enroll in training programs, you agree to:

  • ✓ Provide accurate and complete information
  • ✓ Maintain the confidentiality of your passwords and account information
  • ✓ Accept responsibility for all activities under your account
  • ✓ Notify us immediately of any unauthorized access or use
  • ✓ Not share your account with others or transfer your account

3.2 Prohibited Conduct

You agree not to:

  • ✗ Violate any applicable laws or regulations
  • ✗ Engage in harassment, abuse, or discrimination
  • ✗ Transmit viruses, malware, or harmful code
  • ✗ Spam or send unsolicited messages
  • ✗ Attempt to gain unauthorized access to our systems
  • ✗ Engage in any activity that disrupts or degrades our Services
  • ✗ Impersonate another person or entity
  • ✗ Use automated tools to scrape content without permission

4. Consulting Services Terms

4.1 Engagement Agreements

All consulting services are governed by a separate written engagement agreement (SOW - Statement of Work) that outlines scope, deliverables, timeline, and fees. These Terms serve as the general framework; the engagement agreement will control in case of conflicts.

4.2 Confidentiality and Non-Disclosure

Both parties agree to maintain strict confidentiality regarding:

  • ✓ All information exchanged during the engagement
  • ✓ Proprietary methodologies and frameworks (THOTH Framework)
  • ✓ Findings, recommendations, and strategic guidance
  • ✓ Client business information shared in confidence

This confidentiality obligation survives termination of the engagement for a period of 3 years, except as required by law.

4.3 Limitations on Our Liability

While we provide our best professional advice based on available information, we do not guarantee specific business outcomes. Consulting recommendations are based on information you provide and market conditions at the time of engagement. Business success depends on your execution, market conditions, and factors beyond our control.

4.4 Your Obligations

You agree to:

  • ✓ Provide accurate information and access needed for engagement
  • ✓ Designate appropriate internal contacts and decision-makers
  • ✓ Participate actively in the engagement
  • ✓ Pay fees according to the engagement agreement terms

5. Training Programs Terms (The Code)

5.1 Enrollment

By enrolling in The Code training program or any other THOTH training course, you agree to:

  • ✓ Comply with all course rules and conduct standards
  • ✓ Attend sessions as scheduled
  • ✓ Participate actively and respectfully
  • ✓ Maintain confidentiality of course materials
  • ✓ Pay all course fees as specified

5.2 Course Materials

All course materials, including presentations, workbooks, frameworks, videos, and recordings, are proprietary to THOTH Consulting and protected by copyright. You may use these materials solely for personal learning and professional development within your organization. You may not reproduce, distribute, sell, or transfer course materials without written permission.

5.3 Attendance and Participation

The Code program requires consistent attendance. If you miss sessions, we may require make-up work or additional assignments. Excessive absences may result in exclusion from the program. CMI certification requires completion of all coursework and the capstone project.

5.4 Certification

Completion of The Code (all three courses) and successful capstone defense entitles you to CMI certification. This certification remains valid as long as you comply with CMI requirements. THOTH reserves the right to revoke certification if you violate these Terms or CMI standards.

6. Payment Terms

6.1 Fees and Pricing

Our current pricing:

  • • Single Course: EGP 12,000 (subject to change by written notice)
  • • Full Pathway Bundle: EGP 45,000 (subject to change by written notice)
  • • Consulting Services: As quoted in engagement agreement

All prices are subject to change at our discretion. We will provide written notice of price changes.

6.2 Payment Methods and Processing

We accept bank transfers and other payment methods as specified during checkout. Payment information is processed securely using industry-standard encryption. All transactions are subject to verification for fraud prevention.

6.3 Invoicing and Billing

Invoices are issued upon agreement signature (for consulting) or course enrollment (for training). Payment terms are NET 30 from invoice date unless otherwise specified in your engagement agreement.

6.4 Late Payments

Payments not received by the due date may accrue late fees at 1.5% per month or the maximum rate allowed by law, whichever is less. We reserve the right to suspend services for non-payment.

7. Disclaimer of Warranties

OUR WEBSITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING OUR WEBSITE OR SERVICES, INCLUDING BUT NOT LIMITED TO:

  • ✗ Implied warranties of merchantability or fitness for a particular purpose
  • ✗ Warranties regarding accuracy, completeness, or reliability of content
  • ✗ Warranties that our website will be uninterrupted or error-free
  • ✗ Warranties that defects will be corrected
  • ✗ Warranties that specific business results will be achieved

8. Limitation of Liability

IN NO EVENT SHALL THOTH CONSULTING, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

  • ✗ Indirect, incidental, special, consequential, or punitive damages
  • ✗ Lost profits, revenue, or business opportunities
  • ✗ Loss of data or information
  • ✗ Any damages arising from your use of or inability to use our Services

OUR TOTAL LIABILITY to you for any claim arising from these Terms or your use of our Services shall not exceed the total amount you have paid to THOTH in the 12 months preceding the claim.

Some jurisdictions do not allow exclusion of implied warranties or limitation of liability, so the above limitations may not apply to you. If applicable law does not allow the above limitations, our liability will be limited to the maximum extent permitted by law.

9. Indemnification

You agree to indemnify and hold harmless THOTH Consulting, its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including attorney's fees) arising from or related to:

  • • Your violation of these Terms
  • • Your violation of any applicable law or regulation
  • • Your infringement of any third-party intellectual property rights
  • • Your use of our Services in violation of these Terms
  • • Your conduct or actions resulting from recommendations or guidance we provided

10. Termination

10.1 Termination by Us

We may terminate or suspend your access to our Services at any time, with or without cause, upon written notice to you.

10.2 Termination by You

You may cancel your engagement or course enrollment by written notice. Cancellation policies vary by service type and are specified in your engagement agreement or course enrollment terms.

10.3 Survival

Sections regarding intellectual property, confidentiality, indemnification, limitation of liability, and dispute resolution survive any termination or expiration of these Terms.

11. Dispute Resolution

11.1 Informal Resolution

If you have a dispute with THOTH, you agree to first try to resolve it by contacting us at info@thothconsult.eu with the subject "Dispute" and a detailed description of your issue. We will attempt to resolve the matter informally within 30 days.

11.2 Governing Law

These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of Estonia and the EU (specifically GDPR), without regard to its conflict of law provisions. For disputes not covered by EU law, the laws of Egypt (where operations are based) may apply.

11.3 Jurisdiction and Venue

You and THOTH Consulting agree to submit to the exclusive jurisdiction of the courts of Estonia and Egypt. You waive any objection to venue and any claim that such courts are an inconvenient forum.

12. Third-Party Content and Links

Our website may contain links to third-party websites and resources. We are not responsible for the content, accuracy, or practices of third-party websites. Your use of third-party websites is at your own risk and subject to their terms and conditions.

We do not endorse and are not responsible for any third-party content, products, or services linked from our website.

13. Modifications to Terms and Services

We reserve the right to modify these Terms at any time. Changes become effective immediately upon posting to our website. Your continued use of our Services following the posting of modified Terms means you accept and agree to the changes.

We may also modify or discontinue any Service at any time with or without notice. We are not liable for any modification, suspension, or discontinuation of our Services.

14. Severability

If any portion of these Terms is found to be invalid or unenforceable, that portion shall be severed and the remaining provisions shall remain in full force and effect. To the extent possible, we will modify the invalid provision to make it valid and enforceable.

15. Entire Agreement

These Terms, together with our Privacy Policy, any engagement agreement, and any other written agreements between you and THOTH, constitute the entire agreement between you and THOTH regarding your use of our website and Services. These Terms supersede all prior understandings and agreements, whether written or oral.
